Terms of use e-business

aunts&uncles GmbH & Co.KG ( in the following: "a&u") makes these e-business system available to its retail partners (in the following referred to as "partners") as an information and ordering system exclusively within the scope of these terms of use.

1. access authorization/secrecy

a&u provides the partner with an user ID on request. User ID and password are required for access to the protected retail partner area by a&u. For security reasons it is recommended to change your password every 3 months. The partner may only allow access to the electronic ordering system to permanent employees of his company. All access data must be kept secret by the partner and may not be passed on to third parties. Furthermore, the access data may not be passed on to external price research software or similar software tools which are not saved on the partner's computers and are not operated from there. The partner is obliged to immediately delete the access to the protected a&u partner area and to change a previously used password of any employee who left the company.

2. transfer of data

The partner is not allowed to pass on information on prices, availability etc. to third parties outside his company. He is also not allowed to store the received data on other computers than his own.

3. orders

Orders are regarded as transmitted and signed in written form. The contained user ID is regarded as proof of the identity of the sender. This means that the partner, individualised on the basis of the user ID, is bound to each order in his name. The partner has to check his order details carefully.

4. order processing

he electronic, written or oral offers of a&u do not constitute an offer in the legal sense, but are only to be taken as an invitation made to the partner to place an order. With receiving the electronic receipt, the partner can assume that a&u has received and is processing an order sent by him via the e-business system. The partner is responsible for the control of the incoming receipt. He is obliged to check it immediately and to object to it if necessary. The sales contract shall only come into effect with the electronic or written order confirmation from a&u, at the latest with the acceptance of the delivery by the partner.

5. general property rights

The partner is obliged to observe all property rights of a&u. Usage is only allowed within the scope and for the purpose of data maintenance of the customer's own electronic merchandise management database. The partner is not allowed to use the data outside of this purpose. Furthermore, the partner is not allowed to reveal the prices and availability of a&u products to third parties.

6. collection, processing and use of partner information

a&u saves and uses the information received from partners in various ways to improve offers and services, including the processing of orders and the delivery of goods. a&u also uses partner information to communicate with the partner about orders, products, services and marketing offers and to update data records, maintain and update customer profiles and to recommend products to the partners which may be of interest to them. a&u also uses partner information to improve the e-business platform and to detect and prevent misuse of the website.

7. liability

a&u assumes no liability for the correctness of the data and information and for the authorization of the partner to use this data and information. The partner is aware that internet-based services are subject to typical default risks which cannot be controlled by a&u. In the case of comprehensible indications that a transmission has not/not been correct/not been complete, the business partners will inform each other immediately. The providing of the necessary means of access is the responsibility of the partner, who also covers the access and transmission costs. The partner is responsible for access control, security and protection of the files on his system and on the transfer path. The partner is in particular obliged to take appropriate, up-to-date protective measures for data backup.

8. duration of the contract

a&u grants access to the e-business system for an indefinite period of time in compliance with these terms of use. In case of the ending of the business relationship, violation of these terms and conditions, misuse or for other legitimate reasons, a&u has the right to block access to the e-business system without setting any period.

9. various

Besides, the general terms and conditions of a&u apply in their current version.
